第一章  加盟商合作条件

Chapter One Conditions for franchisees

 

1、加盟商资质要求Qualification of Franchisees

1.1加盟商需有零售运营经验和良好的品牌管理意识;

Franchisees must have retail operation experience and a strong sense of brand management,

1.2加盟商自有营运资金或所属公司的自有营运资金不得低于100万元人民币。

Franchisees or their mother companies must have self-owned operation capital no less than 1 million RMB.

 

2、加盟市场要求Qualification of franchise markets

2.1全球(除中国外)的所有空白市场(国家);

The Global marketcountry except  China

2.2“美特斯邦威(Meters/bonwe)”品牌在当地需有一定的消费群体,能在当地市场实现持续、稳定的发展;

A solid consumer base of Meters/bonwe is present in the given market that promises sustainable and steady development.

2.3签订3年经营计划,有年度提货目标限定,逐年更新;

Must sign a 3-year operation plan with a yearly renewed annual purchasing target.

2.4 只允许在指定渠道销售,不得私自授权或者转售。

Only designated channels are allowed to sell company’s products. Any private authorization or resale behavior is forbidden.

 

3、加盟拓展店铺标准Franchised store expanding standard

备注Note

1、空白市场新开必须遵守店铺(非专柜)优先开发原则;

New stores in Virgin market must follow store prioritized(rather than corner) development rule;

2、营业面积为店铺(专柜)内实际丈量的面积(不包括仓库、办公室等位置);

The area mentioned here is the actual carpet area in store/corner, not including warehouses and office areas.

3、所开发店铺尽可能位于主要商圈的最佳位置。

New stores should locate at the prime location of the central business district.

 

第二章  加盟商合作条款

Chapter Two Franchisees Cooperation Clauses

1、加盟合作方式

Methods of franchise cooperation

1.1订货制Order model

采取订货制,一年4次订货会,可根据区域气候特点选择参加,如春夏 秋冬两季;无拒收、退货或货损补贴支持,除非加盟商收到的货量多或少超5%

Under order model, there are 4 order fairs every year. Franchisees can participate spring, summer or fall, winter based on the region’s climate character. No subsidies for rejection, return or damage of cargo, unless the quantity franchisees receive is over 5% less or more than agreed. 

1.2商品价格Product Price

授权市场的零售价格由加盟商提供建议,后提报公司核准,但应等于或大于进货落地成本,最高不得超过3倍落地成本;落地成本包括FOB价格、运费、保险、银行费用及清关费在内的合计成本。

Franchisees can propose their own retail prices for the market, and submit to the company for approval. These prices should be equal to or higher than landed costs, but should not exceed 300% of it. Landed costs refer and include FOB value of the products, freight charges, marine insurance, bank charges and custom duty.

加盟商须保持稳定的货品价格体系,新品上市3个月内不允许低于5折当地零售价。

Franchisees shall maintain a stable price system. Prices of new products shouldn’t be lower than 50% of local retail prices within 3 months of launching.

商品吊牌由加盟商自行当地印制,但该等吊牌式样必须提交公司审批后方能生产使用。

Franchisees make and print out their own hang-tags, but they shall be submitted to the company for approval in advance.

1.3运输方式及费用Shipping mode and expenses

采取FOB运输,公司提供建议货代;订货时先付50%货款定金,发货前另付50%

FOB shipment is adopted, and company will recommend freight forwarding agents. Franchisees shall pay 50% of goods value on order fair as down payment, and the other 50% shall be paid before delivery.

1.4开店支持Support for new stores

对于新开店铺,给予门头、灯道具有条件报销支持.

The company provides conditional reimbursement for props, lights and gate decorations for new stores.

2. 加盟商供货折率Purchase discount policy

2.1合同基准折率Benchmark discount rate

现公司加盟商的供货基准折率范围为吊牌价的51-59%,具体基准折率视年提货额而定,对于公司的战略加盟商,公司视其经营状况,给予不同折扣的返点。

The benchmark discount rate is 41% - 49% off, and actual discount rate is influenced by purchase value. Company gives certain percentage of rebate based of operation status of strategic franchisees.

2.2期货折率Discount rate for future goods

加盟商在公司召开的订货会上所预购的货品为期货,公司提供给加盟商期货

的供货折率为其基准折率的基础上再下调3%。

The goods ordered by franchisees on order fair are future goods. Discount rate for future goods is 3% higher than benchmark discount rate.

2.3 KBD返点策略KBD(Key Business Driver)rebate policy

公司对加盟日常门店运营中关键点进行考核,并给予最高3%的返点折率。

The company assesses the key points of business of franchisee stores, and gives maximum 3% rebate.

2.4优质加盟商目标完成额外返点标准

Extra rebate for outstanding franchisees

公司会评估加盟商年度指标完成情况;店铺拓展目标达成给予1%返点;另外视FOB目标达成率给予1%-2%返点折率。

The company evaluates the annual targets of franchisees. 1% rebate will be given to franchisees that reached store expansion target. 1% - 2% rebate will be given to franchisees based on the achieving rate of FOB target.
